Ch. 5 – Due Diligence in Commercial Real Estate Transactions


Description

In a commercial real estate purchase and sale transaction, the buyer’s “due diligence” is the care they are reasonably expected to take to ensure the property is free from liability and suitable for its intended use. If a lender is financing part of the transaction, its due diligence includes ensuring the property will provide adequate collateral for the loan and that its lien will be enforceable. Buyer’s counsel plays a significant role in performing due diligence, and will often interact with professionals such as surveyors, traffic engineers, environmental consultants, property inspectors, and others.  This session explains what is typically involved in due diligence and its importance and introduces the new commercial practitioner to the role of outside professionals in the exercise of due diligence.

KARA J. SCOTT is a native of Rhode Island and earned a degree in history from Rhode Island College in 1992 and her law degree from New England Law in Boston, MA, in 1995.  She has been a member of the Rhode Island Bar since 1995 and became a member of the Florida Bar and the Connecticut Bar in 2006.  Ms. Scott was a partner of a prestigious real estate firm in Rhode Island prior to relocating to Florida in 2019 where she practiced with a real estate firm in Sarasota. Prior to joining the Fund’s Legal Education Department in August, 2023, Ms. Scott’s practice focused on residential and commercial real estate transactions, business law, land use and estate administration. Ms. Scott is a member of The Florida Bar’s Real Property, Probate & Trust Law Section and the Sarasota County Bar Association.
