Ch. 2 – Letters of Intent

Description

While each LOI is unique to the sale contemplated, certain features are common, such as the allowance for a “due diligence” period for the buyer to examine the property and any accompanying assets, an exclusivity period during which the seller agrees not to market the property, specific conditions required for the sale to close, and confidentiality provisions to ensure information shared with a potential buyer does not damage the seller in the event the sale is not completed. This session examines the important role of the Letter of Intent in commercial transaction.
