Ch. 3 – Commercial Real Estate Contracts: Building the Commercial Contract

Description

Unlike residential transactions, where form contracts are ubiquitous and are typically prepared by real estate agents, the sale of commercial real estate will necessitate counsel’s involvement from the outset, negotiating and preparing a purchase and sale agreement (PSA) tailored specifically to the transaction at hand. This segment of the training focuses on the building of a commercial PSA. Attention is particularly paid to contract provisions that are wholly unique to commercial transactions, such as “deliverables” and the use of representations and warranties as a substitute for - or supplement to - the buyer’s due diligence concerns. Importantly, the attendee is encouraged to always consider and view each contract term discussed through the lens of which side to the transaction he or she may be representing.
