Description

Loan documents in a commercial transaction are generally more complex than those commonly seen in a residential transaction and require careful review, which can be time consuming. The good news is that within the framework of the letter of intent, most commercial loan documents can and should be negotiated, so it’s important to know what to look for, especially when representing the borrower. This segment focuses on important aspects and review of the documents, including working with lender’s counsel, and negotiating the documents, and considers matters not often seen in residential loan documents, including future advances, guaranties, environmental indemnitees, assignments of rents and leases and UCC-1 financing statements.

Cynthia Raleigh, Old Republic Title

Cynthia Raleigh joined The Fund in 2018 as a Commercial Services Underwriting Counsel. Cynthia earned her J.D. from the University of Miami School of Law, cum laude, and a B.S. from New York University. Cynthia is Board Certified in Real Estate and is a member of the Florida Bar’s Real Property, Probate & Trust Law section.
 
Before joining The Fund, Cynthia gained commercial transactional and land use experience at both national and boutique law firms. She advised developers, homebuilders, and individuals nationwide in sales, purchases, leasing, and financing. Her experience includes retail, hotel, mixed use, and large-scale residential development.
