Key Contract Drafting Considerations and Land Use Considerations in Acquiring a Mixed- Use Project
Discussion of drafting key provisions in a commercial acquisition contract, with additional emphasis on special considerations related to a developer's acquisition of an incomplete mixed use project. Review of specific due diligence factors to be considered by the purchaser of a mixed use development, with an emphasis on awareness of potential pitfalls and land use issues.

Eddie Francis is a member of the firm's real estate practice, focusing on real estate transactions, development and finance, land use and zoning, commercial leasing, and representing clients before local government.
Mr. Francis has extensive experience representing developers in all aspects - acquisition, due diligence, entitlements and zoning approvals, master planning and development, and finance- of large office, retail, residential, hotel, and mixed-use projects. He also represents clients in the areas of cell tower leasing and zoning, and multi-state/portfolio real estate transactions.

Randi Fitzgerald is co-chair of the firm's Government Approvals/Land Use Group, and focuses her practice on land use, zoning, environmental matters and real estate development, including comprehensive planning, Developments of Regional Impact (DRI's), DRI rescission, annexation, concurrency, vested rights and property rights issues.
She has served as lead counsel for more than 35 DRI's and has represented both property owners and local governments. She represents clients in all phases of development for commercial, residential and mixed-use projects, including site selection, due diligence, establishment of community development districts, and procurement of land use approvals and entitlements.
Ms. Fitzgerald is a Florida Supreme Court Certified Circuit Court and Appellate Mediator, concentrating in intergovernmental disputes and private and public disputes affecting real property.
